1. General
1.1. Whapiz (the "Service") is a cloud customer-relationship platform for business messaging — WhatsApp Business API, Facebook Messenger, Instagram, Telegram and email — with a shared team inbox, automation, an AI assistant, forms, a catalog, payment collection and reporting.
1.2. The Service is operated by Whapiz, company no. 301535670, 65 Herzl St. / Rishon LeZion ("we", "the Company").
1.3. Using the Service, including during a trial, means you accept these Terms and the Privacy Policy. If you do not agree, do not use the Service.
1.4. The Service is for businesses and for adults (18+) acting on behalf of a business. The person signing up confirms they are authorised to bind that business.
2. Accounts, users and security
2.1. Each business (the "Customer") gets a separate workspace. The account admin may add users; the Customer is responsible for its users' actions.
2.2. The Customer must keep login credentials confidential and is responsible for all activity in its account. Notify us immediately of any unauthorised use.
2.3. We may suspend an account that is unpaid, breaches these Terms, or endangers the Service or other customers, with reasonable notice where feasible.
3. Messaging channels and third-party platforms
3.1. Connecting channels (WhatsApp Business API, Meta, Telegram, Google, Microsoft, Twilio and others) is subject to those platforms' terms, including the WhatsApp Business Messaging Policy and Meta Platform Policy. The Customer must comply with them — in particular: send marketing messages only to recipients who opted in, honour opt-outs, and never send spam.
3.2. We are not a party to platform terms and are not responsible for platform changes, limits, blocks or pricing (for example WhatsApp conversation rates).
3.3. The Customer is the "business" towards the platforms and towards its own customers; we provide the tool.
4. Trial, plans and payment
4.1. Trial: 14 days, no credit card required, within the limits published on the website. When the trial ends the account is limited until a plan is purchased.
4.2. Plans, prices and quotas (users, conversations, storage) are published on the website and may change; a price change applies from the next billing period and is announced in advance.
4.3. Auto-renewal: monthly/annual subscriptions renew automatically at the end of each period and are charged to the stored payment method unless cancelled before the renewal date. Auto-renewal can be switched off in the billing settings.
4.4. Payments are processed by the payment provider Tranzila; full card details are never stored by us. A tax invoice/receipt is issued automatically.
4.5. Add-ons (for example email storage) are charged per the website pricing and renew with the subscription.
4.6. Non-payment: a failed charge moves the subscription to "past due"; after a grace period of 7 days the account may be suspended. Retry charges may be attempted during the grace period.
4.7. Cancellation and refunds: you may cancel at any time; cancellation takes effect at the end of the current billing period. Periods already charged are not refunded, except where the law requires otherwise.
4.8. Prices include/exclude VAT as stated on the website; VAT appears on the invoice.
5. Customer content and ownership
5.1. All content the Customer enters or receives through the Service (contacts, messages, files, settings) belongs to the Customer. We receive a limited licence to process it solely to provide the Service.
5.2. The Customer is responsible for the lawfulness of its content and is the data controller under applicable privacy law; we act as processor on the Customer's behalf, as described in the Privacy Policy.
5.3. Export and deletion: the Customer can export data (for example conversations to PDF, contacts) at any time. After termination, data is deleted within 30 days, except what the law requires us to keep (for example billing records).
6. Acceptable use
The Service must not be used to: send spam or messages without consent; break the law or infringe rights or privacy; distribute abusive content, fraud or malware; attempt to access other customers' systems or data; reverse-engineer the Service; or deliberately overload the infrastructure. A breach justifies immediate suspension.
7. AI assistant
7.1. AI features (automatic replies, lead qualification, transcription, insights) use third-party models (for example OpenAI). Relevant conversation content may be sent to them for processing as described in the Privacy Policy.
7.2. AI output may be wrong; the Customer is responsible for reviewing and configuring the AI and for every message sent to its customers in its name. Do not rely on the AI for legal, medical or financial advice.
8. Availability, support and changes
8.1. We aim for high availability but do not guarantee it; there may be interruptions for maintenance or for reasons beyond our control (including third-party platform failures).
8.2. We may update, change or discontinue features; if the whole Service is discontinued we will give 60 days' notice and an export option.
8.3. Support is provided through the channels published on the website during business hours.
9. Intellectual property
The Service, its code, design, trademarks and documentation are the property of the Company or its licensors. The Customer receives a limited, non-exclusive, non-transferable licence to use the Service during the subscription. Feedback you give us may be used freely.
10. Confidentiality
Each party will keep the other party's non-public information confidential and use it only for the purposes of the agreement.
11. Liability and indemnity
11.1. The Service is provided "AS IS". To the maximum extent permitted by law, the Company is not liable for indirect or consequential damage, loss of profit or loss of data.
11.2. The Company's total liability towards the Customer is limited to the amounts paid by the Customer in the 12 months preceding the event.
11.3. The Customer will indemnify the Company against third-party claims arising from a breach of these Terms, from Customer content, or from the Customer's breach of platform policies.
12. Termination
Either party may terminate with notice; sections 4.7, 5.3, 9–11 and 13 survive termination.
13. Governing law and jurisdiction
These Terms are governed by the laws of the State of Israel. The competent courts of Tel Aviv–Jaffa have exclusive jurisdiction.
14. Miscellaneous
These Terms, together with the Privacy Policy and the terms of the purchased plan, form the entire agreement. We may update these Terms; a material update is announced 30 days in advance. Continued use after an update constitutes acceptance.
